Contract – a contract for the provision of services within the meaning of the Polish Civil Code of 23 April 1964 (Journal of Laws 1964, No. 16, item 93, as amended), concluded between Princeton Language Academy and the Customer by means of distance communication, including email and forms available on the Shop website.

Working Days – every day from Monday to Friday, excluding public holidays.

Parties – the parties to the Contract, i.e. Princeton Language Academy (as the seller) and the Customer.

Each Customer must read these Terms and Conditions and comply with them. The Terms and Conditions must be accepted each time before an Order is placed.

2. General provisions

2.1. Before placing an Order and concluding a Contract, the Customer must confirm that they have read the Terms and Conditions.

2.2. The provisions of these Terms and Conditions are not intended to exclude or limit any rights that Consumers have under mandatory provisions of law; any doubts are resolved in the Consumer’s favour.

2.3. An active email account is required to conclude a Contract in the Shop.

2.4. Persons using the Shop are prohibited from taking any action that may adversely affect the proper functioning of the Shop, including providing unlawful content.

2.5. Princeton Language Academy reserves the right to change the prices of and information about Courses, to post new information, to introduce new Courses and withdraw individual Courses presented in the Shop, and to run and cancel promotions and sales of any kind. The right referred to in the previous sentence does not affect Orders placed before the date on which a change in price or in the terms of a promotion or sale takes effect.

2.6. Where a promotion or sale covers a limited number of Courses or places on Courses, Orders will be processed in order of receipt until all the places covered by the promotion or sale have been taken.

2.7. Group sizes are as follows:
– Elite group: 3 people
– Standard group: 4–7 people
– Economy group: 8–10 people

2.8. Course groups have a limited number of places, depending on the size of the group (group types and sizes are set out in clause 2.7). Orders are fulfilled – that is, the Customer is enrolled in the chosen group – in the order in which confirmed Orders for that group are received and in-person enrolments for it are accepted at the Princeton Language Academy office, until all places have been taken.

2.9. Princeton Language Academy reserves the right to withdraw a Course scheduled for a given date from its offer if no places are available. The Customer will be informed of this by email without delay, and no later than 1 Working Day after the day on which the Order was placed. If a fee has been paid for a Group Course that has no places available, the student will be offered a place in a group at a different time or a full refund of the fee paid.

3. How language courses are run – rights and obligations of the Customer and of Princeton Language Academy

3.1. Princeton Language Academy undertakes to organise the language Course whose content and number of hours are set out in the Course description in the Shop (the description constitutes an offer within the meaning of the Civil Code), provided that the minimum number of students for the given type of group is reached.

3.2. Rights and obligations under the Contract may not be transferred to other persons without the consent of Princeton Language Academy.

3.3. Each proficiency level takes two terms to complete. Princeton Language Academy enrols students one term at a time. Therefore, to continue at the same level in the following term, the Customer should enrol again and pay the fee by the deadline set by Princeton Language Academy. This does not apply to courses that do not follow the two-term pattern.

3.4. Language courses are held in suitably equipped classrooms and taught by qualified Polish and/or foreign teachers. English classes in each group are taught by one teacher, who is either Polish or a native speaker of English.

3.5. Groups are formed according to Customers’ needs and their level in the language, as determined by a test and/or a placement interview or, for continuing students, by a certificate of completion of the previous level or an international language exam certificate. Princeton Language Academy offers a free online test at www.princeton.pl/en/placement-test/ so that Customers can check their level in a given language.

3.6. After classes have started, a Customer may move to a higher or lower level only where there is good reason and with the agreement of an authorised representative of Princeton Language Academy.

3.7. Classes are not held on public or religious holidays. Princeton Language Academy takes days off into account when setting class dates and hours, and undertakes to deliver the full number of hours set out in the course offer.

3.8. A teaching hour lasts 45 minutes. The number of hours for each type of course is as follows:
– general, exam preparation, specialist and business courses: 50 teaching hours;
– additional components (grammar, reading and writing, or speaking and listening): 20 teaching hours.

3.9. Group sizes are as follows:
– Elite group: 3 people
– Standard group: 4–7 people
– Economy group: 8–10 people. In exceptional cases, Princeton Language Academy reserves the right to increase a group by up to two people.

3.10. (deleted)

3.11. A Customer who misses the final test on the date set for their group may take it no later than 14 days after the end of the service, i.e. after the last class of the paid Course. Such a Customer should agree a new date with the teacher and take the test during a class with their group or at the Princeton Language Academy office. Results are available 7 days after the test. Princeton Language Academy’s obligations to the Customer end on the day the Course ends.

3.12. Princeton Language Academy requires the Customer to be punctual, to take an active part in the course and to prepare for classes conscientiously. During classes, the Customer may not disrupt the lesson, use a mobile phone or any other device in a way that disturbs the group, or behave in a way that breaches generally accepted standards of conduct.

3.13. Princeton Language Academy may terminate the Contract with immediate effect if the Customer physically assaults another Customer, a teacher or a member of Princeton Language Academy staff, or commits a proven act of theft or vandalism, and – in the case of conduct that breaches clause 3.12 above – after two written warnings. In such a case, Princeton Language Academy will refund the fee paid, reduced pro rata to the services already provided.

3.14. Princeton Language Academy undertakes to provide its training services diligently.

3.15. Princeton Language Academy ensures that the services it provides are of high quality.

3.16. Princeton Language Academy reserves the right to cancel classes for good reason (e.g. a teacher’s sudden illness). Cancelled classes are not forfeited: the Course is extended so that the number of teaching hours delivered matches the Contract.

4. Course start date

4.1. The Course will start between 1 September 2017 and 20 October 2017. The Customer will be notified of the exact start date of the Course by telephone or email.

4.2. If a Course does not go ahead for reasons attributable to Princeton Language Academy, the full amount will be refunded within 48 hours to the bank account specified by the Customer.

4.3. Princeton Language Academy reserves the right to cancel a Course – and thereby terminate the Contract with the Customer – before it starts or while it is running if the minimum number of students is not reached. In such a case, the Customer will be refunded the amount paid for classes that will not take place.

5. Placing an order

5.1. The Course descriptions and prices given in the Shop constitute an offer within the meaning of the Civil Code.

5.2. To place an Order, the Customer should take the following steps on the Shop website:
a) read the terms, set out on the Shop website, on which a Contract for the provision of services may be concluded;

d) correctly complete the relevant form with up-to-date personal details: first name, surname, place of residence, contact telephone number and email address;
e) read and accept these Terms and Conditions;
f) give the consents and make any other declarations marked on the Shop website as required for the chosen Order.

5.3. Before placing an Order, the Customer may also give other consents and make other declarations via the Shop website. These are voluntary and are not required to place an Order.

5.4. To send the Order to Princeton Language Academy, after completing the steps listed in clause 5.2 (and, where applicable, after voluntarily giving the consents referred to in clause 5.3), the Customer clicks the button marked “Zamawiam i płacę” (“Order and pay”) on the Shop website.

5.5. The words “and pay” on this button mean that the Customer must pay Princeton Language Academy the amount due in order to conclude the Contract in accordance with clauses 7.1–7.2.

6. Prices and payment

6.1. The prices of all Courses available in the Shop are gross prices in Polish zloty (PLN). They are valid until all places have been taken.

6.2. The Course prices shown in the Shop are the total amount payable to Princeton Language Academy for the services, including taxes.

6.3. The Course price may be paid as a single payment of the amount specified by Princeton Language Academy in the Course description. A Customer who wishes to pay in instalments must conclude the Contract in person at the Princeton Language Academy office.

6.4. If the Course price does not include materials, the Customer undertakes to buy them separately.

6.5. Orders placed in the Princeton Language Academy Shop can be paid for by bank transfer to the Princeton Language Academy account.

6.6. For payments by bank transfer to the Princeton Language Academy account, the following information should be given in the payment reference:

The amount due should be transferred to the following Princeton Language Academy bank account:

6.7. The payment deadline for bank transfers is 2 days from the date the Order is placed.

6.9. Once the Customer has paid, they receive an email confirming the conclusion of the Contract for the Course, in the form of a course information sheet, together with confirmation of payment. The Terms and Conditions are also attached to this email.

7. How the Contract is concluded

7.1. Payment made in accordance with clause 6.8 of the Terms and Conditions constitutes the Customer’s acceptance of Princeton Language Academy’s offer and thus concludes a Contract for educational services in the form of a language Course for a fixed term, i.e. from the date of its conclusion until the last class provided for in the offer.

7.2. The Contract is deemed concluded at the moment payment is made in accordance with clause 6.8 of these Terms and Conditions.

7.3. For transfers to the Princeton Language Academy bank account, the payment deadline is 2 days from the date the Order is placed, in accordance with clause 6.7 of the Terms and Conditions.

7.4. Within 2 Working Days of the conclusion of the Contract, Princeton Language Academy will send the Customer confirmation of the distance Contract on a Durable Medium. By accepting the Terms and Conditions, the Customer agrees to receive this confirmation in a form other than paper, namely as an email confirming the conclusion of the Contract.

7.5. If Princeton Language Academy finds that payment has not been made to the Princeton Language Academy bank account within 2 days of the Customer placing the Order, the Customer authorises Princeton Language Academy to cancel the entire Order.

8. The consumer’s right to withdraw from a distance contract

8.1. A Customer who is a Consumer may withdraw from a distance Contract within 14 days without giving any reason. The withdrawal is effective if the declaration described in clauses 8.2–8.3 below is sent before the end of this 14-day period, which runs from the day the Contract was concluded. The rules for withdrawal are set out in the provisions below and in the Information on Withdrawal (Annex 1 to the Terms and Conditions).

8.4. If the Consumer validly withdraws from the Contract, the Contract is deemed not to have been concluded.

8.6. Princeton Language Academy makes the refund using the same means of payment as the Consumer used, unless the Consumer has agreed to a different method of refund.

8.7. If a Group Course is bought through the Shop less than 14 days before its classes start, the Consumer, by attending classes, agrees to the service starting before the 14-day withdrawal period has expired. Once the Consumer has started using the service, they may cancel at any time on the terms set out in section 9 of these Terms and Conditions.

9. Cancellation of a group course

9.1. Subject to section 8 of the Terms and Conditions, if the Customer cancels a Group Course no later than 7 Working Days before it starts, the fee paid for the Course is refunded in full. 9.2. If the Customer cancels a Group Course in writing, Princeton Language Academy will refund the fee paid, reduced pro rata to the services already provided. In addition, a cancellation fee of 30% of the Course price is charged. The cancellation date is the date on which the written notice is received at the Princeton Language Academy office. Failure to attend classes does not count as cancellation.

9.3. The cancellation fee may be waived if the Customer submits a written request at the registered office of Princeton Language Academy, stating the reasons and enclosing documents showing that the cancellation was due to circumstances beyond their control, such as chronic illness, serious family circumstances or an accident.
